MOELCI-II renews articles of incorporation during special assembly
TUDELA, Misamis Occidental — The Misamis Occidental II Electric Cooperative Inc. (MOELCI-II) has formally renewed its articles of incorporation during a Special General Membership Assembly held on April 11, 2026, at the cooperative’s multipurpose gym.
The articles of incorporation serve as the cooperative’s foundational legal document, establishing its corporate existence, defining its structure and purpose, and granting authority to operate. They also safeguard member-consumer-owners by separating personal liabilities from those of the organization.
The business session was presided over by the cooperative’s Board of Directors, led by President Mary Therese Romero-Sy, together with district representatives: Ann Ruby Jane M. Ponce (Bonifacio), Geronimo N. Mantuhac (Tangub City North), Selah L. Cartajenas (Tangub City South), Jose E. Deguilmo Jr. (Ozamiz City North), Eddie L. Caluna (Clarin), Mario Genis B. Sarigumba (Tudela), Jenefe C. Vale (Jimenez), Mauricio T. Barquin Jr. (Sinacaban), and Leah May R. Paylaga (Panaon).
Also present were General Manager Engr. Roel Christian M. Agustero; National Electrification Administration (NEA) representative PS Sherwin C. Manada; and Claire P. Quetua, information chief and acting division manager for consumer development and protection.
Legal counsel Atty. Elvin Roy B. Dagpin attended the assembly, along with officers of the Federated Member-Consumer-Owners Organization and District Member-Consumer-Owners Organization.
Local officials in attendance included Tudela Mayor Estela O. Estano and Misamis Occidental 2nd District Board Member Atty. Henjie Estano, representing Governor Henry S. Oaminal. Clarin Mayor Riza Oaminal-Delos Santos was represented by Councilor Vencito Go.
A total of 3,948 MCOs participated in the assembly.
In his message, Atty. Estano emphasized that the authority to renew the articles of incorporation ultimately rests with the member-consumer-owners (MCOs), noting that the document underpins the cooperative’s legal existence and operational mandate.
He added that Governor Oaminal supports the renewal to ensure MOELCI-II’s continued service to its constituents.
Atty. Dagpin, for his part, underscored the legal necessity of the renewal, explaining that it allows the cooperative to continue operating and fulfilling its mandate to serve its members.
MOELCI-II’s current articles of incorporation are set to expire on June 2, 2026, coinciding with the cooperative’s 50th anniversary.
The proposed renewal, which extends the cooperative’s corporate term by another 25 years, was unanimously approved by the attending members, with no objections recorded.
