G Mining Ventures and G2 Goldfields Announce Closing of Arrangement!

GMIN has successfully acquired all of the I/O shares of G2, and G2 has completed a spin-out transaction with G3 Goldfields Inc.

Each G2 Share was exchanged for 0.212 of a common share of GMIN and 0.50 of a common share of G3, and G3 has applied to list its shares for trading on the CSE.

G Mining and G2 Goldfields Provide Update on Arrangement with G Mining and Spin-Out of G3 Goldfields!

The parties are actively working through the remaining closing conditions, which are expected to be completed by the end of July 2026.

Closing of the Arrangement will follow shortly thereafter (such date to be announced by the Company and referred to as the “Effective Date”). Holders of G2 shares will receive 0.212 of a GMIN common share and 0.5 of a G3 common share for each G2 share held as of the close of business on the business day immediately prior to the Effective Date. G3 has applied to list on the CSE and awaits approval.

G2 Goldfields Receives Court Approval For Arrangement With G Mining and Spin-Out of G3 Goldfields!

Holders of G2 Shares will receive 0.212 of a GMIN share and 0.5 of a G3 share for each G2 Share held as of the close of business on the business day immediately prior to the Effective Date (the “Consideration”). The Arrangement is expected to close in July 2026 (such date to be announced by G2 and referred to herein as the “Effective Date”).
