OFFICIAL ANNOUNCEMENT 📢 : Hartree Partners completes acquisition of Touton SAS

Hartree Partners, LP (“Hartree”), a global energy and commodities trading firm, and Touton SAS ("Touton"), a leading independent soft commodity trading company, today announced the completion of Hartree's acquisition of Touton, following consultation with employees' representatives and satisfaction of all customary closing conditions. The transaction extends Hartree's strategic growth in commodities, building on its July 2025 acquisition of ED&F Man Commodities.

Founded in 1848, Touton has developed into a globally recognized trader and supply chain manager, with deep expertise in cocoa, coffee, and ingredients. The group combines strong market insight with a robust local sourcing network and enduring relationships across origin and destination markets. Its long-standing commitment to sustainability underpins its approach to risk management and the development of responsible, traceable value chains.

Touton's coffee trading capabilities complement ED&F Man’s existing coffee business, Volcafe, and broaden Hartree’s soft commodities footprint to include cocoa, vanilla, and spices. The combined organization strengthens Hartree's ability to deliver value throughout the soft commodities supply chain while expanding sustainable sourcing capabilities.

Touton will continue to operate under its current brand and leadership team, led by Patrick de Boussac. Touton will maintain its existing client relationships, sustainability programmes, and operational structure. The integration will aim to ensure continuity for employees, customers, and partners.

ING Corporate Finance M&A acted as sole financial advisor to Touton and its shareholders. Clifford Chance served as legal counsel, and PwC provided financial and tax due diligence support.

Société Générale acted as sole financial advisor to Hartree. Herbert Smith Freehills Kramer acted as legal counsel and PwC Société d’Avocats provided tax advice to Hartree.

Beyond digital and regulatory transformations, commerce is about being on the ground: meeting people, building trust, and seeing firsthand the reality of cocoa, coffee, and ingredients production.

Last November, we welcomed financial partners and cocoa product manufacturers to Ghana for a field immersion as part of the Touton Ghana Customers Tour 2025.
For many of our guests, it was their first time discovering the richness and complexity of the cocoa supply chain in Ghana, as well as the expertise and dedication of the people who bring it to life every day.

From CTPC’s cocoa mass processing lines to cocoa farms and community-led sustainability programmes, these two days offered a concrete view of our integrated value chain and the role each stakeholder plays in building long-term commercial relationships.

Seeing the field makes the importance of trust tangible and reminds us of our shared responsibility in progressing the sustainable transformation of the cocoa sector.

The Touton group has achieved the ABATEMENT ROADMAP level and badge as part of our participation in Supplier Leadership on Climate Transition (LOCT), a collaboration of global brands and suppliers committed to carbon emissions reductions. The badge represents the progress we’ve made to reduce our impact on climate change and aligns with global standards and the ambitions of our customers, including Mars, our sponsor in the programme.

The ABATEMENT ROADMAP level means that we have set abatement measures for Scope 1, 2, & 3 and an implementation timeline to meet our Science-Based Target with the support of the Supplier LOCT collaborative.

Suite au passage dévastateur du cyclone Gezani à Madagascar, la ville de Tamatave (Toamasina) - port clé et origine stratégique d’approvisionnement pour nos épices telles que le clou de girofle et la cannelle - a été sévèrement touchée. Avec plus de 70 % de la ville détruite, les conséquences humanitaires et économiques sont considérables.

Partenaire de longue date dans la région, le groupe Touton a effectué un don significatif pour répondre aux besoins de première urgence et soutenir les communautés affectées.

Notre équipe sur le terrain est en sécurité et se rend activement auprès de nos partenaires-fournisseurs pour s’assurer qu’ils bénéficient du soutien nécessaire. Au-delà de l’aide d’urgence humanitaire, la continuité économique est essentielle pour assurer la reconstruction rapide du tissu économique et social de la région.

Les fonds ont été acheminés par l’intermédiaire d’une association locale de confiance qui gère l’école Vatosoa et soutient plusieurs organisations locales, dont un orphelinat pour enfants en situation de handicap, un centre culturel ainsi que des associations accompagnant les jeunes mères et les jeunes filles vulnérables.

Les actions d’urgence ont notamment inclus :
• La distribution de plus de 2 tonnes de riz et de haricots, ainsi que de produits de première nécessité (huile, savon, kits d’hygiène) à plus de 200 familles
• L’hébergement temporaire et l’acheminement d’eau pour les familles déplacées
• La distribution de tôles, matelas, vêtements et kits solaires aux foyers touchés
• L’achat de matériel de nettoyage, de lampes solaires et de bâches afin de sécuriser et protéger les bâtiments endommagés
Touton reste pleinement engagé aux côtés des communautés où nous opérons, en particulier lors des moments de crise.

Congratulations to Dionymer and the entire team on this major milestone 👏

Through ResiliAnce, the Touton group’s innovation investment fund, we are proud to have supported Dionymer over several years on this transformative journey.

By developing bio-based and biodegradable polymers from biowaste, Dionymer is helping reshape industrial value chains, including agri-industrial supply chains like ours, and showing that circular economy solutions can be scaled and industrialised.

This funding round marks a key step from pilot scale to full industrial production, and we are delighted to continue backing the team as they move into this next phase.

Reducing our carbon footprint begins with understanding where emissions come from. 🌍

At Touton, we're committed to the Science Based Targets initiative (SBTi) with a clear ambition: reducing our Scope 1 & 2 GHG emissions by 42% by 2035. To achieve this, we're taking a data-driven approach.

One of our first steps? Conducting a complete Life Cycle Assessment at the Cocoa Touton Processing Company (CTPC) in Tema, Ghana — our cocoa mass processing factory.

This methodology has proven its value in identifying concrete solutions. We now aim to replicate this approach across our other operations, driving measurable progress towards our 2035 targets.

This year marks 10 years since the creation of Cocoa Touton Processing Company (CTPC), Touton group’s first industrial investment and the foundation of our Cocoa Products activity.

Over the past decade, CTPC has grown into a recognised player in the cocoa industry. Cocoa products now represent a steadily increasing share of Touton’s diversified portfolio, supporting our expansion across new markets, including the USA and Asia.

🎉We are proud to share that Clasen Quality Chocolate (CQC) has named Touton its 2024 Best Supplier of Raw Materials.🎉

This distinction recognises our ability to consistently deliver high-quality cocoa mass, on time, even amid an exceptionally volatile cocoa market over the past two crop seasons.

Beyond performance, this award also highlights our strong partnership built on trust, transparency, innovation and operational excellence. We are particularly honoured by CQC’s recognition of our teams’ agility, customer focus and capacity to develop practical, efficiency-driven solutions.

Proud to share Touton’s participation in Coffee Platform's new €2M collective-action partnership to advance sustainable coffee in East Africa.
Through this initiative, we join public and private partners to strengthen farmer livelihoods and scale climate-resilient practices in key coffee-producing regions.

Touton is already active in Uganda’s coffee supply chains through our PACT STANDARD programmes (recognised by GCP as 2nd-party equivalent). This new platform will allow us to deepen core components of our work, particularly those focused on youth.

We’re excited to begin this new chapter in Uganda and continue contributing to meaningful, scalable impact for farmers and young people in coffee production!
