SIR MEL TOGOLO APPOINTED CEO OF BCL

The highly respected Sir Melchior Togolo has been appointed chief executive officer of Bougainville Copper Limited (BCL). BCL is working to advance the redevelopment of Bougainville’s Panguna mine under its five-year exploration licence, granted in 2024.

Sir Melchior said it was a privilege to be entrusted with the CEO role on an ongoing basis. “It is a great challenge, but in the interests of my people and the Autonomous Bougainville Government, it is a privilege to be involved in delivering the Panguna project in the best way possible,” he said.

Sir Melchior is a prominent Bougainvillean with extensive experience in the resources industry in PNG and abroad, particularly in the minerals sector for more than three decades. He also previously held several senior positions with Bougainville’s former North Solomons Provincial Government.

Sir Melchior was appointed to the BCL board in 2017 and served as chairman from February 2018 to March 2026. Following the sudden passing of CEO Johnny Patterson Auna last August, he agreed to serve as acting CEO and his permanent appointment was affirmed at BCL’s recent board meeting.

The ABG is now BCL’s majority shareholder with a 72.9% share in the company following the transfer of shares previously owned by the Independent State of PNG. BCL recently entered into a non-binding cooperation agreement with Lloyd’s Metals and Energy Limited relating to the further advancement of the Panguna project.

BCL chairman Kearnneth Nanei is pictured addressing today's Annual General Meeting in Port Moresby. BCL progressed its work under its exploration licence (EL01) in what has been a year of significant transition with the ABG becoming for the first time our majority shareholder with a 72.9% share in the company.

BCL PROVIDES EMERGENCY RELIEF

With a solemn sense of duty, BCL’s local engagement team was an early responder to last week’s fatal mudslide at Asiko village in Kongara, Central Bougainville, during severe weather associated with Cyclone Maila.

Working closely with locals, the team delivered essential food and first aid supplies and provided transport assistance in what were extremely difficult conditions.

Support was coordinated on the ground near Kakusida Health Centre, with close liaison with community representatives and health services to ensure assistance reached those most affected. Kongara 1 community government Acting Chairlady Linda Maniot expressed her gratitude for the assistance provided during a time of real community need.

BCL is also assisting other communities across the Panguna project area impacted by the inclement weather events.

COOPERATION WITH LLOYDS METALS AND ENERGY

Bougainville Copper Limited advises that it has entered into a non-binding cooperation agreement relating to the Panguna Mine in Central Bougainville with Lloyds Metals and Energy Limited, dated 8 April 2026 (Agreement).

The Agreement provides a non binding framework to enable Lloyds during an exclusivity period of 90 days, to undertake technical, commercial, financial environmental and social due diligence relating to the Panguna mine.

The Agreement does not create any obligation on either party to proceed with, or enter into, any binding transaction or definitive arrangement relating to the redevelopment of the Panguna Mine.

LOLOHO PORT PROJECT

BCL is proud to be partnering with PNG’s Total Waste Management in a project to remove hazardous waste from Loloho Port, which was identified during field work for the independent Panguna Mine Legacy Impact Assessment (PMLIA).

The work is the result of collaboration between the ABG, BCL and Rio Tinto in responding to the PMLIA and all were involved in a ceremony at Loloho last week to launch the project. In parallel, other priority works in the former Panguna mine area are underway to address safety risks.

The first project successfully completed, saw the demolition and removal of masonry walls at the Panguna church site. There are also plans to address flooding at Kuneka Creek.

NEW CHAIRMAN APPOINTED

Kearnneth Nanei (pictured), who has served on the BCL board since 2021, has been appointed company chairman, after Sir Mel Togolo stood down from the position.

Kearnneth is a highly regarded leader with a strong legal background and is also Chief Secretary of the ABG, which is BCL’s majority shareholder. He was extensively involved in the development of the Bougainville Mining Act 2015 and, also advised the government on autonomous arrangements.

Sir Mel served as chairman since 2018 and will continue as a director and Acting CEO until a permanent appointment is made. He continues to provide excellent leadership during a transitional period for BCL.

Long-serving directors Sir Moi Avei and Peter Graham departed in late February creating two vacancies.

ADDRESSING SAFETY RISKS

We are pleased to confirm the successful demolition and removal of three unsafe masonry walls that were identified as imminent severe risks through the Panguna Mine Legacy Impact Assessment (PMLIA) process.

These structures were assessed as posing a threat to public safety, and their removal represents an important step in reducing high-risk legacy hazards within the former Panguna mine area. The Panguna church walls (pictured) were the first to be addressed.

Further works are also planned, including the removal of hazardous waste from Loloho Port, addressing flooding at Kuneka Creek, and the demolition of other unsafe structures in the mine area. These activities are being progressively advanced this year as part of a collaborative effort overseen by BCL.

LANDOWNER DELEGATION

BCL supported a recent visit by landowner representatives from the Panguna mine project area to PNG’s renowned Ok Tedi copper mine in Western Province, to provide exposure to and learnings from mining operations and modern tailings management systems that reflect international best practice.

The program included briefings on successful landowner company models, local content and contracting frameworks, and established benefit-sharing arrangements.

The delegation also toured the facilities of Total Waste Management Limited (TWM) at Roku outside Port Moresby to further inform its understanding of complex waste management processes as part of the Panguna Mine Legacy Impact Assessment works.

BCL extends its appreciation to the Ok Tedi and TWM management teams for hosting the Panguna landowner delegation.
