Constitution & By-Laws


Article I. Name – Cagayan-Kalinga Energy Press Corps (CKEPC)

Section 2. Nature of the Organization - The Organization shall be a non-profit and non-stock association existing and organized as such under Philippine laws. Article II. Vision and Mission Statement


Section 1. Vision - Cagayan-Kalinga Energy Press Corps envisions working c

ohesively with energy industry players such as the National Grid Corporation of the Philippines (NGCP) to promote the energy development programs and encourage the proliferation of energy industry related infrastructure, and to foster a local media that is well-versed in the technicalities of the energy industry in the provinces of Cagayan and Kalinga. Section 2. Mission - Cagayan-Kalinga Energy Press Corps shall provide the public with accurate, sustained and fair information to help energy industry players such as the NGCP. Article III. Purpose and Objectives


Section 1. Purposes and Objectives - The Organization shall have the following purposes and objectives:

a. To establish a cohesive body of media practitioners that will embody the sentiments and aspirations of the members. To extend support and assistance on the information and advocacy programs of private and public institutions and agencies. To establish common and unified communication plan through a workable system of information exchanges between energy industry players, such as the NGCP, and the local media. To foster unity and cooperation among members of the media in the province of Cagayan and Kalinga



Article IV. Functions


Section 1. The organization shall exercise the following functions:

a. Formulate, implement and promote information and energy related communication programs and policies. Adopt measures for the promotion of the welfare of members. Article V. Membership


Section 1. Composition and Qualification - The organization shall be composed of members of the media of the province of Cagayan and Kalinga. The membership will be composed of:

a. Regular Members – at least two (2) members of each media entity who are officially appointed or designated by their heads of agencies/stations (private and government sectors) including but not limited to reporters, station managers and publishers. Advisers – the Regional Corporate Communications and Public Affairs Officer of energy industry players, such as the NGCP, assigned to the province shall stand as adviser along with three other nominated advisers from the members. Rights and Duties of Members – Regular Members of the organization shall have the following rights and duties:

a. To adhere to this Constitution and By-Laws and advance the organization’s vision, mission and objectives, and assist in carrying out its functions. To be informed of press releases/news and latest updates, organizational meetings, plans and programs, activities and special events, financial statements and the use of funds and/or property. To actively participate in meetings and all deliberations of the organization. To render support to programs, projects and other undertakings as may be approved by the organization. Article VI. Administration


Section 1. General Administration – The organization shall be administered by the officers who shall be elected by the general membership. President

c. Vice President for Kalinga
d. Executive Secretary
e. Board Manager for Print (Cagayan)
f. Board Manager for Radio (Cagayan)
g. Board Manager for TV (Cagayan)
h. Board Manager for Print (Kalinga)
i. Board Manager for Radio (Kalinga)

Section 2. Meetings – The Cagayan-Kalinga Energy Press Corps officers shall meet quarterly. Special meetings may be called by the President when deemed necessary. A majority of the members shall constitute a quorum to transact official business in the quarterly general membership meetings. The affirmative vote of the majority of the members present in a quorum shall be necessary to adopt, amend, ratify, and approve plans, positions, and budgets. Notices of meetings shall be sent at least five (5) working days before the scheduled dates of meetings. Article VII. NGCP Press Corp Officers and Their Duties


Section 1. The President – The President shall perform the following duties:

a. Provide the kind of leadership necessary for the attainment of the goals of the organization. Preside over all the meetings of the officers and the general assembly
c. Call a special meeting of the press corps officers when deemed necessary
d. Represent the organization in any occasion or matter in which representation may be required. e. Sign all appointments, contracts and other documents relative to the associations business and activities. The Vice President shall perform the followings duties:

a. Act as a President in case of the absence, disability, death or resignation of the
President. Assist the President in the implementation of programs, projects and activities. Represent the President in any occasion where such representation may be necessary. Coordinate with the members of the press in the dissemination of press releases. Acts as coordinator within the officers of the press corp. f. Perform other duties as may be assigned by the president. Section 3. The Secretary- The secretary shall perform the followings duties:

a. Prepare the minutes of all meetings of the Press Corps officers and the General Assembly. Act as custodian of all minutes, records and documents including the seal of the organization. Give due notice of all meetings to members. Keep accurate memberships records. Perform any other duties that the President may direct. Section 6. Board Managers - The Board Managers shall perform the following duties:

a. Manage programs, projects, and other undertakings of the organization in close
coordination with the President. Perform other duties as may be assigned by the President. ARTICLE VIII. Term of Office


Section 1. Term of Office. The term of office of officers which shall start upon election shall be two years with no term limit. ARTICLE IX. Quorum

Section 1. A quorum or two thirds of the voting number of members during a meeting is needed for every decision of the body. ARTICLE X. Election

Section 1. At the general assembly of the members of the organization, which shall be done every two years, the general membership shall nominate and elect from among them, the officers of the organization. The election of the officers shall be in the office of the ______________________or such other place as the association through its officers may designate. Article XI. General Assembly

Section 1. The General Assembly shall convene to act on recommendations/ suggestions of officers being the highest policy making body. Article XII. Organization Seal

Section 1. The organization shall have its seal exclusively designed, duly approved and adopted by the officers and the General Assembly for the purpose of rendering authenticity to all its official acts ad documents. The official seal shall be in the custody of the Secretary. Article XIII. Amendments

Section 1. This Constitution and By-Laws may be amended or revised by the members by a two-third vote. A written notice of the proposed amendment/s or revision shall be sent to the members of the press corps at least one month before the scheduled date of meeting. Article XIV. Effectivity

Section 1. This Constitution and By-Laws shall become effective upon ratification by majority of the members of the organization. Adopted this ____ day of August 2015 at _____________________________________
during the 3rd regular quarterly meeting of the CKEPC officers by affirmative votes from the members. Certified Correct:
