Navigating IRS Subordination for Oil & Gas Leases

In oil and gas transactions, IRS tax liens can create significant roadblocks. If a lien attaches to a leasehold interest, it can prevent financing, sales, or development. Fortunately, the IRS allows for subordination, enabling another creditor’s lien to take priority. This process can help clear title defects and facilitate transactions.



What Is IRS Subordination?

A federal tax lien on an oil and gas lease can restrict deals by clouding title. Subordination does not remove the lien but allows another creditor or party to take a superior position, making transactions possible.

Common scenarios requiring subordination:
✔ A lessee seeks financing for development.
✔ An operator needs to cure a title defect.
✔ A mineral owner is selling an encumbered property.



How to Apply for IRS Lien Subordination

1. Complete IRS Form 14134

Submit Form 14134 – Application for Certificate of Subordination of Federal Tax Lien (Download Here).

2. Provide Supporting Documents

Key documents include:
• A copy of the IRS lien
• Leasehold legal description
• Title report
• Lease valuation (appraisal, engineering report, etc.)
• Financing agreement or sale contract

3. Choose the Subordination Type

🔹 Payment-Based: IRS subordinates in exchange for a lump-sum payment toward tax liability.
🔹 New Financing-Based: IRS allows subordination to facilitate financing that improves the taxpayer’s ability to pay.

4. Submit to the Correct IRS Office

Use IRS Publication 4235 to find the correct IRS Collection Advisory Office based on the lease location.

5. Plan for Processing Time

Expect 30-90 days for IRS review. Some cases may require a fee.

Ever heard that a vara—a Spanish land measurement—is the length of a mule’s step? While that’s a fun myth, the truth is a bit more precise!

The vara was a standard Spanish unit of length used in land surveying, especially in Texas and the Southwest. It measures 33.33 inches (about 2.78 feet) and was a key unit in Spanish and Mexican land grants. Surveyors didn’t rely on a mule’s stride—they had real measuring tools! 📐

But let’s be honest… mules were definitely around when early land surveys were happening. Maybe one too many surveyors watched their mule walking and thought, “Eh, close enough!” 😆

Even today, Texas property descriptions still reference varas. So next time you hear the legend of the “mule step,” you’ll know the real history!

Natural gas from different sources can vary in energy content due to differences in its composition, particularly the proportion of methane, ethane, propane, and other hydrocarbons. To ensure consistency for consumer use, natural gas is standardized to a uniform heating value, typically around 1,000 BTU per cubic foot.

This standardization is achieved through processing at natural gas plants and pipeline quality control. If the gas has a high BTU content (rich in heavier hydrocarbons), it may be stripped of excess ethane, propane, and butane through fractionation. Conversely, if the gas has a low BTU content, energy-rich gases such as propane or liquefied natural gas (LNG) can be blended in to raise its heating value.

Pipeline operators also monitor gas quality to meet regulatory and contractual standards. Odorants like mercaptan are added for safety, and moisture and impurities are removed to prevent pipeline corrosion and ensure efficient combustion in appliances. By the time natural gas reaches consumers, whether for home heating or industrial use, it has been standardized to ensure reliable and efficient performance across different locations and applications.

Instead, they chart the invisible lines that dictate where the drill bit may turn, where fortunes may rise, and where legal battles may never need to be fought.

They are part historian, sifting through courthouse records and dusty deeds to piece together the lineage of mineral rights. They are part detective, uncovering hidden heirs and long-forgotten contracts that might hold the key—or the lock—to a company’s next big venture. They are part negotiator, sitting across kitchen tables and boardroom desks, offering deals that turn speculation into certainty, and handshakes into signatures.

Their work is never truly done. The land shifts, the laws change, and the maps are rewritten. But through it all, they move with quiet precision, balancing the interests of landowners, energy companies, and the unyielding force of the earth itself.

For oil and gas mineral owners, basic geology is essential to understanding the resources beneath your land. Oil and gas are typically found in sedimentary rocks, which form from layers of compressed sediments. Over millions of years, organic matter like plant and animal remains gets buried and subjected to heat and pressure, turning into hydrocarbons—oil and gas.

These hydrocarbons migrate through porous rocks, like sandstone or limestone, until they become trapped by impermeable rock layers called cap rocks, creating oil and gas reservoirs. Identifying these reservoirs often involves seismic surveys, which use sound waves to map underground formations.

The key elements of oil and gas geology include the source rock, where hydrocarbons form; the reservoir rock, which stores them; and the trap, which prevents their escape. Extracting these resources depends on factors like the depth, rock type, and pressure conditions.
