NOTICE TO SHAREHOLDERS
Firepoint Energy — Status of the Proposed Merger and FPTE Shares
Firepoint Energy Inc. is issuing this notice to clarify the current status of the company and the FPTE shares now appearing on the OTC Markets.
Merger status
Firepoint Energy Inc. remains a privately held company. The proposed merger between Firepoint Energy Inc. and the public company formerly known as XcelPlus International, Inc. (formerly traded under XLPI) has not been completed.
In advance of the merger, the public company changed its corporate name to Firepoint Energy and its trading symbol to FPTE. Because that name and symbol change took effect before the merger closed, the Firepoint Energy name and the FPTE ticker may now appear on the OTC Markets even though the private operating company, Firepoint Energy Inc., has not yet completed the combination.
The FPTE shares currently trading
The FPTE shares presently quoted on the OTC Markets are existing shares of the public company. They are not shares issued by Firepoint Energy Inc., the private operating company, and they do not represent an ownership interest in it.
These shares are part of the public company's existing float held through the Depository Trust Company (DTC). Trading activity in FPTE should not be read as confirmation that the merger with Firepoint Energy Inc. has closed, or that any Firepoint Energy Inc. securities have been issued or registered.
Expert Market status
FPTE is currently quoted on the OTC Expert Market. Securities on the Expert Market may be quoted by broker-dealers only on an unsolicited basis, so the publicly displayed bid and ask quotations associated with actively quoted OTC securities are generally not available, and quotation and trading information may not appear on most retail brokerage platforms. Shareholders with questions about accessing or trading Expert Market securities should contact their broker.

What happens next
Firepoint Energy Inc. is working to complete the proposed merger once all closing conditions and required components are satisfied. Until the transaction is formally completed, Firepoint Energy Inc. remains a private company, separate and distinct from the public company whose shares currently trade under FPTE.
